1. Confidential Information
In connection with any discussions, negotiations, or collaborations between the parties, Perphect Vizion Production LLC, located at 1811 Sardis Rd N. Ste 207, Charlotte, NC 28270 ("Disclosing Party") may disclose certain confidential and proprietary information to the receiving party ("Receiving Party").
2. Definition of Confidential Information
"Confidential Information" shall mean any information, data, or materials, regardless of the form or format, that is disclosed by the Disclosing Party to the Receiving Party, and is marked as confidential or would be understood by a reasonable person to be confidential. Confidential Information includes, but is not limited to, the following:
a. Film scripts, storylines, and treatments.
b. Budgets, financial information, and investment details.
c. Marketing and promotional strategies.
d. Casting choices and talent agreements.
e. Production schedules, timelines, and logistical details.
f. Any other information marked as confidential.
3. Obligations of Receiving Party
The Receiving Party agrees to:
a. Maintain the confidentiality of all Confidential Information received from the Disclosing Party.
b. Use the Confidential Information solely for the purpose of evaluating potential business collaborations or discussing potential projects between the parties.
c. Not disclose, disseminate, or otherwise make the Confidential Information available to any third party without the prior written consent of the Disclosing Party.
d. Use reasonable care to prevent the unauthorized disclosure of the Confidential Information, including limiting access to the Confidential Information to employees or agents who have a legitimate need to know.
4. Exceptions
The obligations set forth in this Agreement shall not apply to any information that:
a. Was already known to the Receiving Party prior to its disclosure by the Disclosing Party, as evidenced by written records.
b. Becomes publicly known through no fault of the Receiving Party.
c. Is independently developed by the Receiving Party without reference to the Confidential Information.
d. Is disclosed to the Receiving Party by a third party who is not under an obligation of confidentiality with the Disclosing Party.
5. Return of Confidential Information
Upon the written request of the Disclosing Party or upon the termination of discussions or collaborations between the parties, the Receiving Party shall promptly return or destroy all Confidential Information, including any copies, notes, or extracts thereof.
6. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state of North Carolina, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the state of North Carolina.
7. Entire Agreement
This NDA clause constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements, whether oral or written.
